A Market That Is Opening Faster Than Most Realise
Uzbekistan has undergone the most significant economic liberalisation in Central Asia since 2017 — currency convertibility, foreign ownership rights, investor protection legislation, and a series of sector-specific reforms that have attracted companies from across the Middle East, Europe, South Korea, and China.
With a population of 35+ million, the youngest median age in the region (28 years), and rapidly growing consumer spending, the market opportunity is real. Companies that establish a legal presence now — while competition is still limited — will be significantly better positioned than those who wait.
KADIR LAW provides the legal infrastructure for that presence: from the first entity registration through to contract negotiations, regulatory filings, and dispute resolution. We act as your local legal team — so you do not need to hire one internally.
What We Do
Full-Scope Legal Support
for Foreign Companies
Representative Office Accreditation
30–45 working daysWe handle the full accreditation process with the Ministry of Investments and Foreign Trade — preparing the application package, parent company document legalisation, appointment of the representative, and registration with the tax authority. A representative office is the fastest way to establish an official legal presence without committing to a full subsidiary.
Included
Subsidiary (LLC) Establishment
7–14 working daysFor companies that want to generate revenue, sign independent contracts, employ local staff, or qualify for IT Park tax benefits, a subsidiary LLC is the right structure. We handle the full incorporation — from charter drafting and Ministry of Justice registration to bank account opening and operational setup.
Included
Local Counsel Retainer
Ongoing monthlyFor companies already operating in Uzbekistan that need a reliable local legal team without the cost of an in-house counsel. We act as your Uzbekistan legal department — reviewing contracts, advising on regulatory changes, handling correspondence with authorities, and representing you in negotiations and disputes.
Included
Contract Negotiation & Dispute Support
Project basisFor specific transactions — joint ventures, supply agreements, distribution contracts, government tenders, or licensing deals with Uzbek partners. We review, negotiate, and draft contracts under Uzbek law, advise on dispute resolution mechanisms, and where needed represent you before Uzbek Economic Courts or international arbitration panels.
Included
Representative Office Process
From Board Decision
to Accredited Presence
Week 1
Structure Selection & Document List
We review your business objectives, planned activities, and timeline to recommend the correct structure — representative office, subsidiary, or branch. We provide a complete document checklist and advise on which parent company documents need to be apostilled or legalised in your home country before we can file.
Weeks 2–3
Application Package Preparation
We prepare the full accreditation package: application to the Ministry of Investments and Foreign Trade, translated and notarised parent company documents, resolution appointing the representative, power of attorney, and supporting financial statements. We handle all translations into Uzbek and coordinate apostilles where required.
Weeks 3–7
Ministry Review & Accreditation
We submit the application and act as your authorised representative throughout the Ministry's review. The standard review period is 30–45 working days. We monitor progress, respond to any information requests, and collect the accreditation certificate on your behalf.
After Accreditation
Tax Registration, Bank Account & Operational Setup
Post-accreditation, we complete tax registration, assist with corporate bank account opening, arrange the representative's work permit if they are a foreign national, and provide an operational compliance brief covering your ongoing reporting obligations. Annual accreditation renewal is included in our retainer clients' scope.
Case Study
European Agricultural Equipment Manufacturer
Mid-size German company · Entering Uzbek agri-tech market · B2B distribution
A German manufacturer of precision agricultural equipment wanted to establish a presence in Uzbekistan to support a distribution agreement with a local dealer network. They needed a legal entity that could sign contracts locally, manage warranty support, and represent the company in government tender processes — without the immediate commitment of a fully-staffed subsidiary.
KADIR LAW recommended and established an accredited representative office, which allowed the company to operate legally in Uzbekistan, sign local contracts on behalf of the parent, and participate in government procurement processes. We also drafted the distribution agreements with the local dealer network and provided the local representative with an ongoing legal support retainer.
The representative office was accredited in 38 working days. Within the first year of operation, the company successfully participated in two government agri-equipment tenders — a process that would not have been possible without an accredited local presence. They subsequently converted one entity to a full subsidiary to expand local revenue.
